1. Introduction
Welcome to ETO Logistics! These Terms and Conditions ("Terms") govern your access to and use of the website [www.etologisticservices.com] (the "Site") and any services provided by ETO Logistics ("we," "our," or "us"), including but not limited to local delivery, expedited freight, general freight transportation, drayage services, and related logistics solutions (collectively, the "Services").
By accessing or using our Site and Services, you ("Client," "you," or "your company") agree to be bound by these Terms and our Privacy Policy. If you do not agree to all these Terms, you may not access the Site or use any Services.
2. Definitions
"Client," "You," "Your Company": Refers to the business entity or individual engaging ETO Logistics for Services.
"Consignor": The sender of a shipment.
"Consignee": The recipient of a shipment.
"Shipment": Refers to all freight tendered by the Client to ETO Logistics for transportation under a single bill of lading or shipping order.
"Services": All logistics, transportation, and related services provided by ETO Logistics, as described on the Site or in specific service agreements.

3. Use of Services
3.1. Eligibility: By using our Services, you represent and warrant that you are a legal entity or an individual at least 18 years of age, legally capable of entering into binding contracts, and that all information you provide is accurate and complete. Our Services are intended for business-to-business (B2B) use.
3.2. Account Registration: To access certain features or services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account.
3.3. Service Request & Quotes: All requests for Services, including quotes, are subject to these Terms. Quotes provided are estimates based on information available at the time and may be subject to change based on actual shipment details, market conditions, or unforeseen circumstances. A binding agreement for Services is formed only upon mutual acceptance of a specific service order or confirmation.
3.4. Client Responsibilities:
* Accurate Information: You are responsible for providing accurate and complete information regarding shipments, including dimensions, weight, commodity, value, pickup and delivery instructions, and any special handling requirements.
* Packaging & Labeling: All shipments must be properly packaged, labeled, and prepared for transportation in accordance with applicable laws, regulations, and industry standards to ensure safe transit.
* Compliance: You are responsible for ensuring that all shipments comply with all applicable laws, regulations, and permits, including those related to hazardous materials, perishable goods, and import/export.
* Access: Ensuring safe and timely access for pickup and delivery personnel and equipment.
4. ETO Logistics Services
4.1. Service Description: ETO Logistics provides various freight transportation and logistics services, including but not limited to:
* Local Delivery: Efficient, precise, and timely local transportation within North and South Carolina.
* Expedited Freight: Rapid response and direct transport for time-critical shipments.
* General Freight: Reliable and cost-effective solutions for standard and recurring freight movements.
* Drayage Services: Specialized transport for containerized cargo to and from ports.
4.2. Performance of Services: We commit to performing Services with reasonable care, skill, and diligence. We will use commercially reasonable efforts to adhere to agreed-upon schedules, but all transit times are estimates and not guaranteed unless explicitly stated otherwise in a separate, written agreement for a specific shipment.
4.3. Right to Refuse Service: We reserve the right to refuse any shipment that is improperly packaged, mislabeled, hazardous, illegal, or that we deem unsafe or unsuitable for transport.
5. Payment Terms
5.1. Pricing: Pricing for Services will be as agreed upon in individual quotes or service agreements. Prices may be subject to additional charges for services not originally quoted (e.g., waiting time, re-delivery attempts, special equipment, hazardous materials, customs duties, taxed).
5.2. Invoicing & Payment: Invoices will be issued in accordance with agreed-upon terms. Payment is due as per the terms specified on the invoice.
5.3. Late Payments: Payments not received by the due date may be subject to late payment fees or interest as specified in the invoice or applicable law. We reserve the right to suspend or terminate Services for overdue accounts.
5.4. Billing Disputes: Any disputes regarding invoices must be submitted in writing within [Number, e.g., 15] days of the invoice date, with detailed documentation supporting the claim. Failure to dispute within this period constitutes acceptance of the invoice.
6. Liability & Insurance
6.1. Limitation of Liability: Unless otherwise agreed in writing, ETO Logistics' liability for loss, damage, or delay to any shipment will be limited to the lesser of: (a) the actual declared value of the goods, or (b) [Specify a maximum liability per pound or per shipment, e.g., $0.50 per pound, or $1000 per shipment], whichever is less, as per standard industry practice. This limitation applies regardless of the cause of the loss, damage, or delay, including negligence on our part.
6.2. Exclusions: ETO Logistics is not liable for loss, damage, or delay caused by: acts of God, public enemies, public authority, acts or omissions of the Client, inherent vice or defect of the goods, riots, strikes, natural disasters, or other causes beyond our reasonable control (Force Majeure). We are also not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.
6.3. Cargo Insurance: While ETO Logistics maintains standard carrier liability insurance, this may not cover the full value of your goods. We strongly recommend that Clients obtain their own adequate cargo insurance to cover the full value of their shipments. Any requests for ETO Logistics to arrange additional insurance must be made in writing and agreed upon prior to shipment.
6.4. Claims: All claims for loss, damage, or delay must be submitted to ETO Logistics in writing within [Number, e.g., 90] days of the delivery date (or expected delivery date for lost shipments). Failure to submit a claim within this timeframe may result in its denial.
7. Intellectual Property
The content, features, and functionality of the Site (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ETO Logistics, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8. Disclaimer of Warranties
The Site and Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchant ability, fitness for a particular purpose, non-infringement, or course of performance. ETO Logistics does not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.
9. Indemnification
You agree to defend, indemnify, and hold harmless ETO Logistics, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Site's content, services, and products other than as expressly authorized in these Terms.
10. Governing Law & Jurisdiction
